Terms of Service

This document is a draft prepared for review by a qualified attorney. It is not legal advice and must be reviewed by a licensed lawyer in each applicable jurisdiction before publication.
1. Introduction and Acceptance
Welcome to VideoContentEditor ("VCE", "we", "us", "our"), a web-based video editing service available at vcecloud.com and operated by Konstantin White.
By accessing or using VCE, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. Your continued use of VCE after any changes to these Terms constitutes acceptance of those changes.
These Terms, together with our Privacy Policy and Cookie Policy, form the complete agreement between you and VCE regarding your use of the Service.
2. Definitions
- "Service" means the VCE web application, API, and all related features available at vcecloud.com and api.vcecloud.com, including video editing tools, AI-powered features, export functionality, and storage.
- "User" or "you" means any individual who accesses or uses the Service, whether or not they have a registered account.
- "Content" or "User Content" means any media files (video, audio, images), project data, text, subtitles, or other materials that you upload to, create with, or store on the Service.
- "Output" means any files, subtitles, or other materials generated by the Service from your Content, including exported videos, AI-generated subtitles, thumbnails, and waveform data.
- "Account" means your registered user account on the Service.
- "AI Features" means features of the Service that use artificial intelligence or machine learning, including but not limited to automatic subtitle generation and silence detection.
3. Eligibility
3.1 Age Requirements
You must be at least 16 years old to create an account and use VCE. This minimum age is set in accordance with the EU General Data Protection Regulation (GDPR). By creating an account, you represent that you meet this age requirement.
If you are between 16 and 18 years old, you represent that you have your parent's or legal guardian's permission to use the Service.
3.2 Legal Capacity
By using VCE, you represent that you have the legal capacity to enter into a binding agreement under the laws of your jurisdiction. If you are using VCE on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3.3 Account Restrictions
You may not create or use an account if you have been previously suspended or removed from the Service for violating these Terms.
4. Your Account
4.1 Account Registration
To use most features of VCE, you must create an account by providing:
- A valid email address
- A secure password meeting our requirements
- A display name
You agree to provide accurate and complete registration information and to keep this information current.
Registration may be limited. VCE may restrict new account creation at any time (for example, during a closed beta or limited-access period). If registration is currently closed, you will see a notice on the signup page. This does not affect the rights of existing account holders.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Choose a strong, unique password
- Not share your login credentials with any third party
- Notify us immediately at legal@vcecloud.com if you suspect unauthorized access to your account
We are not liable for any loss or damage arising from unauthorized use of your account due to your failure to safeguard your credentials.
4.3 One Account Per Person
Each individual may maintain only one active account. Creating multiple accounts to circumvent storage limits, bans, or other restrictions is prohibited and may result in termination of all associated accounts.
5. The Service
5.1 Description
VCE is a web-based video editing platform that provides the following capabilities:
- Media management: Upload, organize, and store video, audio, and image files in supported formats as described in our service documentation
- Video editing: Trimming, cutting, merging, transitions, effects, color correction, speed adjustment, and stabilization
- Audio editing: Volume control, noise reduction, audio mixing, fades, and ducking
- Text and subtitles: Text overlays, subtitle burn-in, and AI-powered automatic subtitle generation
- Templates: Built-in video templates for common use cases
- Batch processing: Process multiple files with the same operations, subject to applicable usage limits
- Export: Render finished videos with presets optimized for various platforms
5.2 Service Limits
Your use of VCE is subject to applicable usage limits, including limits on file size, storage quota, batch processing capacity, and supported file formats. Current limits are described in our service documentation and may be updated from time to time.
We reserve the right to modify these limits at any time. If limits are reduced, existing Content that exceeds the new limits will not be deleted, but you may not be able to upload additional files until you are within the new limits.
5.3 Availability
We aim to keep VCE available at all times, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, server issues, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime in advance when possible.
5.4 Changes to the Service
We may modify, suspend, or discontinue any part of the Service at any time. If we discontinue core functionality, we will provide at least 30 days' notice and allow you to export your Content before such discontinuation takes effect.
6. User Content
6.1 Your Ownership
You retain all rights, title, and interest in your Content. VCE does not claim any ownership over Content that you upload, create, or store on the Service. Nothing in these Terms transfers ownership of your intellectual property to us.
6.2 License to VCE
By uploading Content to VCE, you grant us a limited, non-exclusive, non-transferable, non-sublicensable license to:
- Store your Content on our servers and storage infrastructure (currently Cloudflare R2)
- Process your Content as necessary to provide the Service (including encoding, transcoding, thumbnail generation, waveform analysis, and rendering)
- Display your Content back to you within the VCE interface (including previews and thumbnails)
- Transmit your Content as needed for you to download or export your work
This license exists solely for the purpose of operating and providing the Service to you. We will not use your Content for any other purpose.
This license terminates when you delete the relevant Content or your account, whichever comes first. Upon termination, we will delete your Content from our active systems within 30 days. Copies may persist in encrypted backups for up to an additional 90 days, after which they are permanently purged.
6.3 Your Representations
By uploading Content to VCE, you represent and warrant that:
- You own or have the necessary rights, licenses, and permissions to use and upload the Content
- Your Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party
- You have obtained all necessary consents from any individuals featured in your Content
- Your Content complies with all applicable laws and regulations
You are solely responsible for your Content and the consequences of uploading, processing, and distributing it through the Service.
6.4 Prohibited Content
You must not upload, create, or distribute Content that:
- Contains child sexual abuse material (CSAM) in any form
- Promotes or depicts terrorism, extreme violence, or incites hatred
- Constitutes harassment, bullying, threats, or intimidation of any individual
- Contains material that is defamatory, obscene, or violates the rights of others
- Infringes copyrights, trademarks, or other intellectual property rights of third parties
- Contains malware, viruses, or other harmful code
- Violates any applicable law or regulation
We reserve the right to remove any Content that violates these Terms and to report illegal Content to the appropriate authorities. Content involving CSAM will be immediately removed and reported to law enforcement, including the National Center for Missing & Exploited Children (NCMEC) in the United States and the relevant authorities in the European Union.
7. AI-Powered Features
7.1 Available AI Features
VCE currently offers the following AI-powered features:
- Automatic subtitle generation: Uses the open-source Whisper speech recognition model to transcribe audio into text subtitles (SRT format). Multiple model sizes are available (Tiny, Base, Small, Medium, Large) with varying accuracy and processing time.
- Silence detection: Automatically identifies silent segments in audio/video files for easier editing.
7.2 How AI Processing Works
All AI processing is performed on VCE's own servers. Your audio and video data is not transmitted to any third-party AI service. Specifically:
- Whisper runs locally on VCE infrastructure
- Audio is extracted from your files on our servers, processed, and the resulting subtitles are stored in your account
- No third party receives your Content for AI processing purposes
7.3 No Training on Your Content
We do not use your Content to train, fine-tune, or improve any AI or machine learning models. Your Content is processed solely to deliver the requested feature output (e.g., generating subtitles) and is not retained for model development.
7.4 Your Rights to AI Output
You retain full ownership and all rights to the Output generated by AI Features. AI-generated subtitles and other AI Output are treated the same as any other Content you create on the Service.
7.5 No Guarantee of Accuracy
AI Features, including automatic subtitle generation, are provided on a best-effort basis. We do not guarantee the accuracy, completeness, or reliability of AI-generated Output. You are responsible for reviewing and verifying any AI-generated content before using it in your projects. Accuracy may vary depending on audio quality, language, accent, background noise, and other factors.
8. Intellectual Property
8.1 VCE's Intellectual Property
The Service, including its software, design, interface, logos, and documentation, is owned by Konstantin White and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use VCE's name, logos, domain names, or other brand features.
8.2 Feedback
If you provide us with suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use, modify, and incorporate that Feedback into the Service without any obligation or compensation to you.
9. Copyright Infringement (DMCA)
We respect the intellectual property rights of others and expect our users to do the same.
If you believe that your copyrighted work has been copied and made available on VCE in a way that constitutes copyright infringement, please submit a notification in accordance with the Digital Millennium Copyright Act (DMCA) or the applicable laws of your jurisdiction.
Our complete DMCA takedown and counter-notification procedure is described in our DMCA Policy.
Repeat Infringer Policy: We will terminate the accounts of users who are repeat infringers of copyright. We determine repeat infringement based on the number of valid takedown notices received, considering any counter-notifications or retractions.

10. Service Plans and Payment
VCE is currently offered free of charge. All features described in these Terms are available at no cost. This does not create any obligation on our part to continue offering the Service for free or at all.
11. Prohibited Uses
You agree not to use the Service to:
11.1 Illegal Activities
- Violate any applicable local, national, or international law or regulation
- Upload or distribute Content that you do not have the right to share (see Section 6.3)
- Engage in any activity that constitutes or facilitates fraud, money laundering, or other financial crime
11.2 Abuse and Harmful Conduct
- Harass, threaten, stalk, or intimidate any person
- Upload Content depicting child exploitation in any form
- Distribute content that promotes terrorism, extreme violence, or hatred based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin
11.3 Technical Abuse
- Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service (except as expressly permitted by applicable law)
- Circumvent, disable, or interfere with security features of the Service
- Use automated tools (bots, scrapers, crawlers) to access the Service without our prior written consent
- Introduce viruses, malware, or other harmful code
- Overwhelm or attempt to overwhelm the Service infrastructure (denial-of-service attacks)
- Circumvent storage limits, file size limits, or other technical restrictions
- Use the Service to operate a competing video editing platform or to resell access to the Service
11.4 Enforcement
We reserve the right to investigate and take appropriate action against anyone who violates these prohibitions, including removing Content, suspending or terminating accounts, and reporting violations to law enforcement where appropriate.
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting us at support@vcecloud.com with a request to delete your account. Upon your account deletion:
- Your account will be deactivated immediately
- Your Content will be queued for deletion from our active systems
- All Content will be removed from active storage within 30 days
- Content in encrypted backups will be purged within 90 days
12.2 Termination by VCE
We may suspend or terminate your account at any time if:
- You violate these Terms
- You upload Prohibited Content (Section 6.4)
- Your account is used for Prohibited Uses (Section 11)
- We are required to do so by law or legal process
- We reasonably believe your account poses a security risk
For non-urgent violations, we will make reasonable efforts to notify you and give you an opportunity to remedy the violation before terminating your account. For urgent matters (CSAM, imminent harm, legal requirements), we may act immediately without prior notice.
12.3 Effect of Termination
Upon termination of your account (whether by you or by us):
- Your right to access and use the Service ceases immediately
- We will delete your Content in accordance with Section 6.2 and our Privacy Policy
- Provisions of these Terms that by their nature should survive termination will continue to apply, including Sections 6.1 (Your Ownership), 8 (Intellectual Property), 13 (Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), and 16 (Governing Law)
12.4 Data Export
Before terminating your account, you are responsible for downloading any Content you wish to keep. You can download your media files individually through the Service interface and export project data as JSON via the project export feature. We recommend doing so before requesting account deletion.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties regarding availability, that the Service will be uninterrupted, timely, secure, or error-free
- Warranties regarding accuracy, that the results obtained from the Service (including AI-generated Output) will be accurate or reliable
- Warranties regarding data, that your Content will not be lost or damaged
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply only to the extent permitted by applicable law. In particular, if you are a consumer in the European Union, you have statutory rights that cannot be waived by contract, and nothing in these Terms limits those rights.
14. Limitation of Liability
14.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VCE, KONSTANTIN WHITE, OR ANY OF OUR AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- The total amount you paid to VCE in the 12 months preceding the claim, or
- Fifty US dollars ($50)
14.2 Specific Exclusions
Without limiting the foregoing, we are not liable for:
- Loss of your Content due to service outages, bugs, or security incidents (you are responsible for maintaining your own backups)
- Inaccuracies in AI-generated Output (see Section 7.5)
- Actions taken by third parties using the Service
- Content uploaded by other users
14.3 Consumer Protection
If you are a consumer in the European Union, the limitations and exclusions in this section apply only to the extent permitted by applicable EU consumer protection law. In particular, nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded or limited under applicable law
15. Indemnification
You agree to indemnify, defend, and hold harmless VCE and Konstantin White from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your Content
- Your violation of these Terms
- Your violation of any rights of a third party
- Your violation of any applicable law
If you are a consumer in the European Union, this indemnification obligation applies only to the extent that the underlying claim arises from your intentional or negligent conduct.
16. Governing Law and Jurisdiction
16.1 Governing Law
These Terms are governed by the laws of the Federal Republic of Germany, without regard to its conflict-of-law provisions.
16.2 Consumer Protection Override
If you are a consumer (a natural person acting for purposes outside of your trade, business, or profession), you retain the protection of any mandatory provisions of the law of your country of habitual residence, as required by:
- EU Regulation 593/2008 (Rome I), Article 6(2): A choice of law cannot deprive you of the protection of mandatory consumer rules in your home jurisdiction
- EU Directive 93/13/EEC: Unfair contract terms are not binding on consumers
In plain terms: if the consumer protection laws of your country provide stronger protections than German law, those stronger protections still apply to you.
16.3 Jurisdiction
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Germany, except that:
- If you are an EU consumer, you may bring proceedings in the courts of your country of habitual residence
- Either party may seek injunctive relief in any court of competent jurisdiction
17. Dispute Resolution
17.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to first contact us at legal@vcecloud.com and attempt to resolve the dispute informally. We will attempt to resolve any dispute within 30 days of receiving your notice.
17.2 EU Online Dispute Resolution
If you are a consumer in the European Union, you may use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. We are not currently obligated or committed to use an alternative dispute resolution entity, but we will consider participation on a case-by-case basis.
17.3 Formal Proceedings
If the dispute is not resolved informally within 30 days, either party may initiate formal legal proceedings in the courts specified in Section 16.3.
18. Changes to These Terms
18.1 Notification
We may update these Terms from time to time. When we make changes:
- We will update the "Last Updated" date at the top of this page
- For material changes, we will provide at least 30 days' prior notice via email to the address associated with your account and/or a prominent notice within the Service
- The notice will describe the changes and their effective date
18.2 Your Choices
If you do not agree with the updated Terms, you may delete your account before the new Terms take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes.
18.3 Archive
We maintain an archive of previous versions of these Terms. You may request any prior version by contacting us at legal@vcecloud.com.
19. General Provisions
19.1 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it will be severed from these Terms. The remaining provisions will continue in full force and effect.
19.2 Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, DMCA Policy, and any other policies referenced herein, constitute the entire agreement between you and VCE regarding the Service and supersede all prior agreements, understandings, and representations.
19.3 No Waiver
Our failure to enforce any provision of these Terms at any time does not constitute a waiver of that provision or any other provision. A waiver of any provision is only effective if made in writing and signed by an authorized representative of VCE.
19.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
19.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms caused by circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, or failures of third-party service providers.
19.6 Language
These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in case of any conflict or inconsistency.
